Definitions

The following terms, when capitalised in these Terms of Use, have the following meaning, in the singular and in the plural:

User: Any natural or legal person accessing or using the Platform, whatever their role (Owner or Captain, Marina, Supplier, Technician or Guest).

Owner / Captain: Any natural or legal person who owns a boat or is responsible for operating it, using the Platform to manage their boat, book a berth and place Orders, in particular via myboat.everyblu.com and the everyblu Yachting App.

Marina: Any manager or operator of a marina offering berths and associated services via the Platform, in particular via mymarina.everyblu.com.

Supplier: Any certified professional offering nautical goods or services (provisioning, equipment, hospitality services, etc.) via the Platform, in particular via supplier.everyblu.com.

Technician: Any professional carrying out technical work (maintenance, upkeep, repair) for the benefit of an Owner or a Marina, in particular via the everyblu Connect App.

Guest: Any User with limited access to certain features of the Platform.

Service Provider: Generic term designating, jointly or separately, the Marinas, Suppliers and Technicians providing Orders via the Platform.

Account: The personal space created by the User on the Platform, enabling them to access the Services, manage their interactions and organise Orders.

Order: Any booking, order or service offered by a Service Provider and ordered via the Platform, in particular the booking of a berth, the supply of nautical goods or services or a technical intervention, as defined in the offer validated on the Platform.

Contract: The contract concluded directly between the requesting User (Owner or Captain, acting where applicable on behalf of the Payer) and the Service Provider upon validation of an Order on the Platform.

Payer: The natural or legal person who bears the payment of an Order. The Payer is not necessarily the Captain who placed the order; it is frequently the shipowner, the yacht-owning company or the yacht management company. The Captain placing an order declares, where applicable, that they are acting in the name and on behalf of the Payer and have the authority to bind it.

Payment Service Provider (PSP) / Lemonway: Lemonway, an authorised payment institution, which provides the services of collecting, safeguarding and transferring funds by means of dedicated payment accounts (“wallets”), and which carries out the regulatory checks (KYC/KYB, anti-money laundering and counter-terrorist financing). everyblu is not a payment institution and does not collect or hold the funds, which are held and managed by Lemonway.

KYC / KYB: The identity verification and customer due diligence procedures (Know Your Customer) and business due diligence procedures (Know Your Business) implemented by Lemonway pursuant to the applicable anti-money laundering and counter-terrorist financing (AML/CFT) regulations.

Account Holder (Lemonway): The User who opens a payment account (“wallet”) in Lemonway’s books and who, for that purpose, accepts the Lemonway Framework Agreement. A User only becomes an Account Holder if they open such an account; a mere Payer settling an Order by card or bank transfer, without opening an account in their name, is not necessarily an Account Holder.

Lemonway Framework Agreement: The payment services framework agreement concluded directly between the relevant Account Holder and Lemonway, governing the opening, operation and closure of the payment account as well as payment transactions. It is separate from these Terms, is subject to separate acceptance by the Account Holder and prevails over these Terms for all matters relating to payment services.

Chargeback / Non-payment / Payment objection: Any dispute, rejection, non-payment, objection or refund request affecting a payment transaction (in particular by card), which may occur after performance of the Order and transfer of the funds (payout), and which entails, where applicable, the reversal of the transaction and the charging of the associated fees and penalties.

Reserve: Any amount withheld, provisioned or blocked, on instructions given to Lemonway, for the purpose of covering the risks of non-payment, disputes, objections, fraud and chargebacks, as well as the related fees and penalties.

Bunkering Operator / Physical Supplier: The professional who physically delivers the marine fuel.

Trader / Broker: The professional who sells the fuel (Trader) or who puts the parties in contact for a commission without being the seller (Broker), where applicable upstream of the Bunkering Operator.

BDR (Bunker Delivery Receipt): The bunker delivery note signed by the parties, attesting to the quantities actually delivered and serving as evidence, in particular, in the event of a dispute or chargeback.

Transaction evidence pack: The commercial file supporting an Order held by everyblu, including in particular the order, the validations of the Captain and/or the Payer, the Service Provider’s quote, the invoice, information relating to the yacht, proof of delivery and the history of the transaction on the Platform.

Commission / Service fees: The amount due to everyblu in consideration for the intermediation service and associated services, deducted from payments passing through the Platform, under the conditions of Article 6 and according to the rates in force.

Subscription: The paid access offer (SaaS) subscribed to by certain Service Providers, in particular Marinas and Suppliers, to access the advanced features and tools of the Platform.

Applications: The everyblu Yachting App and everyblu Connect App mobile applications, as well as any other application published by everyblu providing access to the Services.

Website: The showcase website accessible at www.everyblu.com, including the subdomains hosting the applications that provide the Services.

Parties: The Users and everyblu, jointly or separately referred to as “the Parties” or “the Party”.

Services: All the services accessible via the Platform, described in Article 2.

1. Purpose of the Terms of Use

everyblu is a digital platform published by SYNDICO SAS, dedicated to port management and nautical services. It connects, on the one hand, boat Owners and Captains and, on the other hand, Marinas, Suppliers and Technicians, with a view to booking berths, supplying goods and services and carrying out technical interventions, contracted directly between Users via the Platform.

These Terms of Use (the “Terms”) describe the terms of access to and use of the Platform as well as the rights and obligations of the Parties. They operate, where applicable, together with the specific conditions applicable to certain roles or services and with the Privacy Policy, which form an integral part hereof.

In the event of any contradiction, the order of priority is as follows: the specific conditions applicable to a role, a user journey or an Order, followed by the validated quote, prevail over these Terms for what they expressly govern. The Lemonway Framework Agreement is separate from these Terms and prevails for all matters relating to payment services. These Terms are drafted in French; in the event of translation (in particular into English, Spanish or Italian), only the French text shall prevail. They apply wherever the User is located, subject to the mandatory provisions of the country of residence of a consumer User. Each version of these Terms and its acceptance are timestamped and retained as evidence.

These Terms apply, without restriction or reservation, to all operations carried out via the Platform, from the User’s registration and for any Order concluded via the Platform, upon acceptance by ticking the box “I have read and accept the Terms of Use”. Failing acceptance, the User must refrain from accessing and using the Platform.

By accepting these Terms, the User acknowledges that they have the legal capacity required to contract for the Services offered. As these Terms may be amended, the applicable version is the one in force on the Platform on the date the Order is concluded. Amendments are binding on Users from the time they are posted online for future transactions; continued use of the Platform after posting constitutes acceptance of the amended version.

2. Description of the Services

2.7. Transparency of listing and ranking

everyblu informs Users of the main parameters determining the ranking and listing of Service Providers and of their relative importance. Where remuneration (in particular a Premium, Platinum or Diamond Subscription) influences the ranking, visibility, automatic inclusion in a request for quotation (RFQ) or promotion of a Service Provider, this influence is disclosed. everyblu specifies the rules for listing and delisting, the possibly sponsored or preferred status of a Service Provider, any conflicts of interest and any territorial restrictions. This information is provided in accordance with Article L. 111-7 of the French Consumer Code and, where applicable, Regulation (EU) 2019/1150 (“Platform-to-Business”).

3. Registration, Access to the Platform and Obligations

3.1. Eligibility and registration conditions

To register and use the Services, the User must be at least 18 years old or have reached the legal age of majority in their jurisdiction, and have the legal capacity to contract. The User declares that they are legally authorised to use the Platform and are not subject to any prohibition under applicable laws.

Access to the Platform and searching for Orders are free of charge for Owners and Captains (excluding connection costs, the price of Orders and applicable Commissions). Certain Services and Subscriptions intended for Service Providers are subject to a charge, under the conditions of Article 6.

When creating their Account, the User sets strictly personal and confidential login credentials and passwords. The User is solely responsible for any activity carried out using their credentials, undertakes to keep them confidential and to notify any unauthorised use without delay to contact@everyblu.com. everyblu cannot be held liable for any loss or damage resulting from the User’s failure to secure their Account, unless there is proof of fraudulent use that cannot be attributed to the User.

3.2. Multi-role accounts

A User acting in several capacities (for example as Supplier and Marina) must preserve the integrity of each role and comply with the specific obligations attached to each of them.

3.3. Obligations of Owners and Captains

  • Provide accurate information about the boat and the booking or order;
  • Comply with the Marina’s rules and maritime safety rules;
  • Make payments within the stipulated time limits.

3.4. Obligations of Marinas

  • Ensure the accuracy of berth availability and conditions;
  • Handle requests and bookings within reasonable time frames;
  • Comply with applicable safety and environmental regulations.

3.5. Obligations of Suppliers

  • Supply goods and services in a professional manner, in accordance with applicable laws and licences;
  • Honour the quotes and response times announced;
  • Maintain the required insurance.

3.6. Obligations of Technicians

  • Comply with assignments and provide intervention reports;
  • Respect Users’ privacy and the rules applicable within Marinas.

3.7. General non-circumvention obligation

Users are prohibited from indexing, extracting, scraping or reusing by any means whatsoever the profiles, content or data of the Platform outside the intermediation offered by it, from communicating another User’s contact details to third parties, or from concluding an Order on behalf of a third party in order to circumvent the Platform.

The prohibition on circumvention applies for the duration of use of the Platform and for a period of twelve (12) months following the last introduction made through it. The continuation of a pre-existing and documented business relationship, prior to the introduction, does not constitute circumvention. Transactions authorised outside the Platform (Article 6.13) remain subject to the Commission due to everyblu. In the event of established circumvention, everyblu may claim the Commission avoided, plus costs, and suspend or terminate the Account.

3.8. Access security and strong authentication

The User implements the security measures required for access to the Platform and to payment services, in particular: using multi-factor authentication where required; securing their telephone, email address and means of authentication; not sharing their codes; and enhanced verification upon any change of bank details (IBAN).

The User reports any loss, compromise or unauthorised use without delay. everyblu may log out inactive sessions, log sensitive validations and suspend immediately in the event of compromise, and implements payment security awareness measures. These provisions supplement, without replacing, the security and notification obligations set out in the Lemonway Framework Agreement.

4. Use of the Platform

4.1. Authorised use

The User undertakes to use the Platform in accordance with all applicable laws and solely for legitimate purposes relating to port management, boat management, the provision of services or booking activities.

4.2. Prohibited conduct

The User is prohibited in particular from:

  • violating any applicable law or the rights of third parties;
  • uploading malicious content, a virus or a harmful script;
  • impersonating a third party or providing false information;
  • exploiting vulnerabilities, decompiling or attempting to reverse engineer the Platform;
  • using the Services to compete with everyblu or disrupt its operation.

4.3. User content

By publishing content on the Platform (for example boat specifications, offers, berths, photographs, reviews), the User warrants that they hold all necessary rights and grants everyblu a non-exclusive, free and worldwide licence to use, store, display, reproduce and distribute such content solely for the purposes of providing and improving the Services. The User retains the rights to the content they upload.

4.4. Moderation

everyblu may, at its sole discretion and in compliance with applicable legal provisions, remove or suspend any content or Account in breach of these Terms. The liability regime applicable to User content is specified in Article 10 (hosting provider status).

4.5. Notice of illegal content (Digital Services Act)

In addition to the hosting provider regime (Article 10), everyblu provides an electronic mechanism allowing any potentially illegal content to be easily reported. The notice indicates the URL or precise location of the content, the reasons, the contact details of the notifier and a statement of good faith. everyblu acknowledges receipt of the notice and, when it takes a decision to remove, limit, suspend or restrict, gives reasons and informs the author of the content, except where prohibited by law.

everyblu may suspend the processing of notices from persons repeatedly submitting manifestly unfounded reports, as well as accounts manifestly and repeatedly disseminating illegal content. Moderation decisions may be challenged in accordance with the procedures indicated and, where required by Regulation (EU) 2022/2065 (“Digital Services Act”), are subject to the redress mechanisms it provides. A point of contact is available at contact@everyblu.com.

5. Ordering, Conclusion and Cancellation of an Order

The Platform centralises the various stages of the transaction: request, quote, validation, delivery, invoicing and payment. For example, a Captain places an order (in particular a fuel / bunkering order) on the Platform; the Service Provider prepares a quote; the order is validated by the Captain and/or the Payer; the Order is delivered or performed; the invoice is issued; then payment is processed under the conditions of Article 6.

The Orders offered are described so that the User can know their main characteristics (nature, dates, place, price, conditions). The booking or order is made under the sole responsibility of the Owner or Captain, in particular as regards the suitability of the Order for their needs. The Parties may communicate via the messaging service in order to adjust, where appropriate, the scope, dates and price.

The Contract is concluded when the requesting User and the Service Provider have each validated the Order on the Platform, each Party then being bound to perform its obligations and incurring liability accordingly. At that time, the corresponding invoice and, where applicable, the Commission are issued in accordance with Article 6. From conclusion, payment is made in accordance with Article 6, failing which the Order may be cancelled on the Platform, without prejudice to any recourse available to the Service Provider. A confirmed Order may only be cancelled under the cancellation conditions agreed between the Parties or in the event of force majeure, notified to everyblu via the Platform.

5.1. Order placed on behalf of the Payer

When the Captain places an order on behalf of a Payer (shipowner, yacht-owning company or yacht management company), they declare that they are acting as the Payer’s agent and have the authority to bind it. The Payer is identified on the Platform and is liable, towards the Service Provider and everyblu, for payment of the price of the Order and the Commission. Acceptance of these Terms and validation of the order entail, for the Payer, an undertaking to pay under the conditions of Article 6. If the Captain lacks authority, the Captain is personally liable for the commitments made.

In order to make the Payer’s commitment enforceable, the Platform organises and retains evidence of the mandate and consent, including in particular:

  • the invitation and identification of the Payer on the Platform;
  • the validation, by the Payer or by the duly authorised Captain, of the Service Provider’s quote, separate from the acceptance of the pricing conditions;
  • the acceptance of the pricing conditions and, where the opening of a payment account is required, of the Lemonway Framework Agreement;
  • the confirmation of the Captain’s mandate and, where applicable, of the authorisation limits;
  • a timestamped audit log recording, as far as possible, the IP address, device and authentication method used;
  • the handling of the withdrawal or expiry of the mandate.

In the absence of an enforceable mandate or consent of the Payer (no Account, no mandate produced or no acceptance of these Terms by the Payer, or means of payment belonging to a third party), the Captain who placed the order remains personally liable towards the Service Provider and everyblu. The Captain’s declaration alone does not automatically make a Payer who has not consented a debtor.

5.2. Delivery and acceptance of the Order

The Service Provider performs or delivers the Order in accordance with the validated description and quote, in compliance with applicable regulations (in particular, for fuel deliveries, the safety, customs and tax rules specific to bunkering). Proof of delivery (delivery note, quantities, timestamp) is entered on the Platform and included in the transaction evidence pack. Validation of delivery or performance by the Captain and/or the Payer triggers the release of payment to the Service Provider under the conditions of Article 6.

5.3. Right of withdrawal

Where the User acts as a consumer within the meaning of the French Consumer Code, they in principle have a withdrawal period of fourteen (14) days (Article L. 221-18 of the French Consumer Code). The withdrawal regime is assessed separately according to the subject matter concerned: (i) the intermediation service provided by everyblu; (ii) the Subscription (SaaS); (iii) the Service Provider’s Order; (iv) the booking of a berth for a specific date or period; and (v) the delivery of fuel or goods.

By validating an Order whose performance begins, at their express request, before the expiry of the withdrawal period, the consumer User acknowledges that everyblu’s intermediation service will be fully performed upon acceptance and waives their right of withdrawal in respect of that service only (Article L. 221-28). Withdrawal may also be excluded for services provided on a specific date or at a specific frequency within the meaning of Article L. 221-28, which may apply to certain berth bookings. For goods fully delivered or a service fully performed before the end of the period, at the express request of the consumer, the right of withdrawal does not apply; for a service begun but not completed, a consumer who withdraws pays for the service provided up to the withdrawal.

everyblu is aimed primarily at professional Users. Where an Owner, Captain or Payer acts as a consumer or non-professional, the protective provisions of the French Consumer Code apply, in particular pre-contractual information (identity and contact details of the seller, characteristics and total price, duration), the order summary with a button labelled “order with obligation to pay”, confirmation on a durable medium, legal warranties, mediation and online termination. The Service Provider remains the seller of the Order and liable to the consumer for the corresponding obligations.

5.4. Bunkering journeys involving a Trader or a Broker

Where the supply of fuel involves a Trader or a Broker, the arrangement may involve two distinct contractual and financial flows: (i) between the Yacht/Payer and the Trader; and (ii) between the Trader and the Bunkering Operator. The specific conditions of the Order specify, depending on the arrangement adopted and validated with Lemonway: whether the Trader acts in its own name or as agent; who actually sells the fuel; who prepares the quote and the invoice; who is responsible for quality and delivery; who receives the pay-in; whether there are two payment accounts and two payments; who bears the chargeback; and who carries out the KYB.

A Broker remunerated solely by commission is not the seller of the fuel. everyblu guarantees neither the Trader’s margin nor the successful completion of the secondary transaction between the Trader and the Bunkering Operator, except where the latter is expressly managed on the Platform.

5.5. Bunkering: request, delivery and Bunker Delivery Receipt (BDR)

The bunkering journey includes in particular: the request for quotation (RFQ) to Operators, Traders or Brokers; the preparation of one or more quotes; the distinction between estimated quantity and quantity actually delivered; the unit price and any adjustment formula; taxes, duties, exemptions and customs documents; fuel quality and specifications; product availability; port authorisation; delivery constraints (truck, barge or quay); weather and safety conditions; and the appointment of operational contacts.

Delivery is recorded by a Bunker Delivery Receipt (BDR) signed by the parties, on which any reservations are noted. The BDR, quantities and timestamp are included in the transaction evidence pack and constitute enforceable proof of delivery in the event of a dispute or chargeback. Depending on the Order, the following are specified: transfer of ownership and risk, the final invoice and any additional payments or refunds, late cancellation, demurrage and waiting times, and environmental liability in the event of a spill.

5.6. Berth Booking

Berth booking distinguishes a simple request from a booking confirmed by the Marina. Depending on the Marina’s conditions, the following are specified: acceptance procedures, deposits and balances, port dues, required documents and insurance, arrival and departure times, cancellation, delay and no-show, extension of stay, change of berth, inability to accommodate, the consequences of weather conditions and decisions of the authorities, refund and payout procedures for the Marina, and liability for mooring and damage.

5.7. Maintenance, repair and technical interventions (CSR)

For technical interventions, the following are specified: the distinction between a firm quote and an estimate; deposits and milestone payments; additional work and prior acceptance of any overrun; subcontracting; access to the yacht and crew safety; ownership of replaced parts; acceptance of work, reservations and warranties; photographs and intervention reports; and the liability of the main Service Provider for its own technicians and subcontractors.

5.8. Waste Management

For waste collection, the following are specified: the nature of the waste, declarations and traceability documents, the collector’s authorisations, environmental liability, proof of removal, the treatment of hazardous waste, the transfer of custody and compliance with port rules.

6. Payment Terms, Commissions and Refunds

6.1. Respective roles of everyblu and Lemonway

Payments relating to Orders are processed by Lemonway, an authorised payment institution (the “PSP”), by means of dedicated payment accounts opened in the name of Users. everyblu is not a payment institution, and does not collect or hold the funds: these are held and managed by Lemonway until they are paid out. everyblu provides the intermediation, the centralisation of the stages of the transaction and the issuing of commercial supporting documents.

The provision of payment services and the associated checks are governed by the Lemonway Framework Agreement, which is separate from these Terms. This Framework Agreement is made available to the User in a legible, accessible and up-to-date form, and must be expressly accepted by the User, as Account Holder, before opening their payment account. These Terms do not reproduce this Framework Agreement, do not derogate from it and may not contradict it; in the event of any discrepancy relating to payment services, the Lemonway Framework Agreement prevails.

Only Users who open a payment account in Lemonway’s books become Account Holders and are parties to the Lemonway Framework Agreement. Lemonway may amend this Framework Agreement; the Account Holder’s refusal of a new version may result in the suspension or termination of payment transactions concerning them, in accordance with Lemonway’s conditions.

The closure of the everyblu Account and that of the Lemonway payment account are two separate operations: closure of the everyblu Account does not, in itself, entail closure of the Lemonway payment account, which is governed by the Lemonway Framework Agreement.

6.2. KYC/KYB checks and interaction with Lemonway’s conditions

To collect or pay funds via the Platform, the User opens a payment account with Lemonway and submits to KYC/KYB verification and anti-money laundering and counter-terrorist financing (AML/CFT) checks, according to the procedures, thresholds and documents defined by Lemonway in its own conditions. The User undertakes to provide accurate, complete and up-to-date information and documents and to respond to Lemonway’s requests. everyblu may suspend or refuse access to payment services until the checks required by Lemonway have been completed, without incurring any liability in this respect.

As a payment institution, Lemonway is the obliged entity responsible for the regulatory KYC/KYB and AML/CFT checks, which it carries out under its own conditions. This status does not release everyblu or Users from their own obligations. In this respect, a distinction should be made between: (i) the regulatory checks carried out by Lemonway; (ii) the collection and transmission of information and supporting documents carried out by everyblu; (iii) the Users’ obligations to cooperate; and (iv) everyblu’s own commercial and anti-fraud checks.

In this respect, and without replacing Lemonway, everyblu undertakes in particular to: maintain the list of Account Holders; transmit to Lemonway the information and supporting documents requested; report disputes and suspicions; cooperate with requests for information; suspend transactions when Lemonway so requests; secure access; retain audit trails; and notify incidents and data breaches without delay. The User undertakes to provide accurate, complete and up-to-date information and to respond to requests from Lemonway and everyblu. In the event of any discrepancy concerning regulatory checks, Lemonway’s conditions and procedures prevail.

6.3. Payment processing

Funds are collected, safeguarded and then paid out to the Service Provider by Lemonway in accordance with its own conditions. Payment is released to the Service Provider after validation of delivery or performance of the Order (Article 5.2). The technical arrangements of the payment flow are governed by Lemonway’s conditions.

The release of funds to the Service Provider, the validation of the delivery note (in particular the BDR) and the payout do not make the payment final and irrevocable vis-à-vis third parties. A card payment or direct debit may still be subject, after the payout, to an objection, chargeback, return, refund, fraud dispute or recovery. Any irrevocability of a payment order applies exclusively in the relationship between the Account Holder and Lemonway, within the meaning of the Lemonway Framework Agreement, and has no effect on the dispute rights specific to the means of payment used. The consequences of such disputes are governed by Articles 6.16 and 6.17.

6.4. Identification and commitment of the Payer

The Payer, as defined in the Definitions article, is identified on the Platform and is liable for the price of the Order and the Commission. Depending on the payment journey adopted, the Payer may pay for an Order by card or bank transfer without a payment account necessarily being opened in their name, the funds being directed to the beneficiary Service Provider; the Payer only becomes an Account Holder, and a party to the Lemonway Framework Agreement, if they open a payment account in Lemonway’s books. Any KYC/KYB checks required depend on the journey concerned and the capacity of the person concerned (mere Payer, holder of the means of payment, Account Holder or beneficiary Service Provider), in accordance with Lemonway’s conditions. Where the Captain acts on behalf of a Payer, they warrant that they have the authority to bind the Payer (Article 5.1). Validation of the order constitutes an undertaking to pay via the flow described in Article 6.3, under the conditions and subject to the reservations of Article 5.1.

6.5. Allocation of compliance roles

As a payment institution, Lemonway is the obliged entity responsible for the regulatory KYC/KYB and AML/CFT checks incumbent upon it, which it carries out under its own conditions. everyblu does not carry out these checks and does not hold the corresponding regulatory file; it holds only the commercial file (transaction evidence pack) defined in Article 6.6, which supplements Lemonway’s compliance file without replacing it.

6.6. Transaction evidence pack

For each Order, everyblu compiles and retains a commercial supporting file (“transaction evidence pack”) including in particular the order, the validations of the Captain and/or the Payer, the Service Provider’s quote, the invoice, information relating to the yacht, proof of delivery and the references and history of the transaction on the Platform. This file substantiates the commercial purpose, reality and performance of the transaction; it supplements Lemonway’s compliance file without replacing it. everyblu may make this file available to Lemonway, by any means agreed between them, for the purpose of linking it to the transaction concerned.

6.7. Commissions and invoicing

For each Order concluded via the Platform, a Commission (service fees / Platform Fees) is due to everyblu, in accordance with the rates in force displayed on the Platform, and deducted from the flows passing through Lemonway. everyblu issues, in its own name, the invoice corresponding to its Commission. The Service Provider remains the legal seller of the Order and issues, in its own name, its own invoice to the requesting User or the Payer, for which it assumes responsibility as to accuracy, numbering, credit notes and the treatment of VAT and cross-border transactions.

everyblu only issues the Service Provider’s commercial invoice in the Service Provider’s name and on its behalf under an express and separate invoicing mandate concluded with the Service Provider concerned, specifying in particular the allocation of invoice numbers, the management of credit notes, the treatment of quantity adjustments, the party liable for VAT and the treatment of cross-border transactions. In the absence of such a mandate, everyblu does not issue the invoice for the Order. The methods of charging the Commission (added for the Payer or deducted from the Service Provider) and the inclusion or separation of Lemonway’s fees are specified on the Platform. Except in cases of force majeure, the Commission is non-refundable.

6.8. Subscriptions (Marinas and Suppliers)

Service Providers taking out a Subscription (SaaS) undertake to pay the monthly or annual subscription fees displayed on their Account dashboard. The Subscription is renewed automatically unless terminated at least seven (7) days before the renewal date. In the event of payment failure, a grace period of seven (7) days may apply, after which access may be suspended. Unless otherwise agreed, subscription fees are non-refundable once invoiced.

6.9. Taxes and currency

VAT is applied where required by law, depending on the location of the Payer and the beneficiary. Unless otherwise indicated, amounts are denominated in euros (EUR). Invoices comply with European Union tax regulations. Each User is responsible for declaring and paying the taxes incumbent upon them.

6.10. Refunds and cancellations

Eligibility for a refund depends on the state of performance of the Order: before performance, a full or partial refund may be made in accordance with the agreed cancellation conditions; after performance, a refund is only considered in the event of proven failure of the Order or fraud. Any request is made via the system integrated into the Platform and assessed by everyblu support; the refund, where due, is executed by Lemonway. Unless otherwise required by mandatory provisions, disputes relating to an Order must be raised within seven (7) days of the scheduled date of the Order.

6.11. Payment disputes

Any dispute relating to a payment must be reported to everyblu within ten (10) business days, in order to seek an amicable resolution. Disputed funds may, where applicable, be held in a safeguarded account by Lemonway during the investigation, under the conditions laid down by Lemonway.

6.12. Fraud prevention

In order to preserve the integrity of the Platform, transactions are monitored by Lemonway (detection systems and AML/CFT checks) and by everyblu’s internal logic. Any suspicious activity may give rise to a temporary hold, additional verification or suspension of the P2P transfer or payout; repeated or proven fraud may result in the permanent closure of the Account.

6.13. Payment made outside the Platform

Payment outside the Platform is only authorised in the expressly provided journeys and, where such an operational rule applies, exclusively by direct bank transfer. In this case, everyblu does not process the payment and Lemonway is not involved: there is no wallet funding, P2P transfer, payout or KYC/KYB or AML/CFT check carried out by Lemonway in respect of that transaction, and neither everyblu nor Lemonway guarantees the payment. The payment status entered on the Platform is purely declarative; the Service Provider provides proof of payment and remains responsible for its own, independent invoice. The transaction evidence pack remains mandatory. The Platform Fees due to everyblu are paid according to the mechanism provided, and such payment does not exempt the parties from complying with the prohibition on circumvention (Article 3.7). Any false declaration of payment constitutes a breach that may result in suspension or termination. This flow is implemented in accordance with the scheme approved by Lemonway.

6.14. Promotions and discounts

everyblu may offer discount codes or limited-time pricing offers. These must be used in accordance with their published conditions, are non-transferable and non-refundable, and may be withdrawn or deactivated at any time without notice. Any fraudulent use (resale, multiple accounts) constitutes grounds for suspension.

6.15. Social security and tax declarations

Users are reminded that they are responsible for all social security and tax declarations incumbent upon them, everyblu having no involvement in these obligations. They may obtain information on their tax obligations (impots.gouv.fr) and social security obligations (urssaf.fr).

6.16. Non-payments, objections and chargebacks — recourse against the Service Provider

Where a non-payment, objection, dispute or chargeback affects a payment transaction, its consequences are allocated according to its cause. Where it results from the Order, a fault of the Service Provider or insufficient supporting documentation, the chargeback, together with the associated fees, penalties, late-payment interest and collection costs, is charged to the Service Provider concerned.

To this end, and on instructions given to Lemonway where applicable, everyblu may in particular: suspend payouts due to the Service Provider; set off sums due against future sums; require the Service Provider to reimburse SYNDICO where the payment accounts (wallets) are insufficient, within the period indicated; set up an individual reserve (Article 6.17); temporarily withhold funds; and make the continuation of the relationship conditional on regularisation. The Service Provider actively cooperates in contesting the chargeback and provides the relevant supporting documents without delay (quote, BDR and proof of delivery, invoices, correspondence).

These obligations survive the closure of the Account and of the payment account, as chargebacks may occur afterwards. In the event of an abnormal rate of disputes or chargebacks, or repeated breaches, everyblu may suspend or terminate the Service Provider concerned, without prejudice to any recourse.

Risk is allocated according to the cause of the dispute, the party ultimately bearing it being:

  • non-delivery, defective performance or absence of BDR: the Service Provider;
  • price or quantity not in accordance with the quote: the Service Provider;
  • incorrect tax or customs document: the Service Provider;
  • fraud or negligence of the Service Provider: the Service Provider;
  • abusive dispute despite proven delivery: the Service Provider on a provisional basis, subject to the outcome of the dispute;
  • technical error by everyblu: SYNDICO;
  • security or authentication failure attributable to everyblu: SYNDICO;
  • error attributable to Lemonway: in accordance with the Lemonway Framework Agreement and the rules of the means of payment.

Any reserve set up does not constitute a limit of liability: the Service Provider remains liable beyond its amount.

6.17. Reserve, holdbacks and set-off

In order to cover the risks of non-payment, disputes, objections, fraud and chargebacks, funds or payouts may be withheld depending on the risk, and a specific reserve may be imposed on a Service Provider. Circumstances that may justify setting up or increasing a reserve include in particular a high dispute rate, new or atypical activity, a large unit amount or a risk of fraud.

The reserve is funded by deduction from payouts or by payment from the Service Provider. It may be used in the event of a refund, objection, fraud or chargeback. It is maintained, after the last transaction, for a period corresponding to the residual risk, after which the unused balance is returned.

everyblu does not itself carry out transactions on payment accounts: it gives Lemonway the relevant instructions (set-off, holdback, setting up a reserve) and holds a reimbursement claim against the Service Provider. The technical arrangements for holdback and return are governed by the Lemonway Framework Agreement.

6.18. Chargeback risk control measures

In order to comply with the applicable thresholds (in particular the quarterly card chargeback rate set by the card network rules and by Lemonway) and to preserve the integrity of the Platform, everyblu may implement proportionate measures in respect of a Service Provider or Payer presenting a risk, in particular: transaction scoring; the application of limits; the imposition of delays before payout; the obligation to use a specific means of payment; the suspension of card payments for certain transactions; the mandatory use of bank transfer, Pay by Bank or VIBAN for large amounts; enhanced supporting documentation; the suspension of the Service Provider or Payer; and the setting up of a specific reserve (Article 6.17).

6.19. Details relating to Subscriptions (SaaS)

Each Subscription plan (in particular Standard, Premium, Platinum and Diamond) is described, specifying its content, the identity of the subscriber, any free trial, the billing start date, the commitment period, usage limits, data storage limits, the number of users included and optional features. The following are also specified: the terms for changing plans, price increases and renewal; the effects of termination; access to data after termination, data export and reversibility; the treatment of unpaid amounts; the deletion or archiving of the Account; service levels (SLA), support, maintenance and new versions; as well as user licences and the prohibition on resale or shared access.

Where a consumer may subscribe, a directly accessible online termination feature is made available and legible information on the price, duration and essential obligations is provided before ordering, in accordance with the French Consumer Code. The notice period applicable to renewal does not exempt from the corresponding information obligations.

6.20. Platform tax obligations and reporting

As a platform operator, everyblu provides Users, on the occasion of transactions, with information relating to their tax and social security obligations, in accordance with Article 242 bis of the French General Tax Code, and implements, where applicable, the reporting obligations provided for by the “DAC7” regime (Directive (EU) 2021/514), subject to its exclusions. To this end, everyblu may collect tax identification numbers, draw up the required annual statements and retain transactional data. The obligations specific to each User regarding VAT, invoices and credit notes, as well as the obligations applicable to sellers established outside France, are reserved. This clause is not limited to a mere referral to the tax authorities; each User remains responsible for their own declarations (impots.gouv.fr; urssaf.fr).

7. Order Ratings and Reviews

At the end of each Order, the Users concerned may be asked to rate the Order and the other Party, in order to contribute to their reputation on the Platform. Reviews are published on the relevant profile and are not moderated beforehand. A reporting mechanism allows any illegal content to be brought to everyblu’s attention. As a hosting provider, everyblu removes, where appropriate, any review contrary to the applicable rules (invasion of privacy, defamation, disparagement, illegal content), under the conditions of Article 10.

everyblu specifies whether or not published reviews are verified and, if so, by what method. The main characteristics of the verification, the method of calculating and displaying the rating, the publication period, the ranking order (chronological or algorithmic), the existence of any consideration, the Service Provider’s right of reply and the moderation time frame and grounds are brought to the attention of Users. The publication of fake reviews and obtaining reviews in exchange for undisclosed consideration are prohibited.

8. Availability of the Platform and App-Specific Provisions

everyblu uses its best efforts to provide a reliable Platform and to communicate, as far as possible, scheduled maintenance operations. However, the Platform does not guarantee that the Services will be free from interruption or suspension, in particular in the event of force majeure, failure of a hosting provider or third party, internet disruptions or unscheduled maintenance, and cannot be held liable in this respect.

Access to application programming interfaces (APIs) and third-party integrations, where offered, is subject to the technical and security conditions communicated by everyblu; it may be limited, suspended or subject to quotas. everyblu implements reasonable backup and continuity measures and endeavours to ensure the continuity of ongoing transactions in the event of an outage, without guaranteeing the absence of interruption.

With regard to the Applications: geolocation data may be collected, with the User’s consent, in order to suggest nearby ports, service providers or services; push notifications are enabled by default and can be configured in the settings; background use may affect the performance and battery life of the device; use of the Applications is also subject to the conditions of the relevant app stores (App Store, Google Play).

9. Termination and Suspension of the Account

In the event of a serious and/or repeated breach of these Terms or one affecting Orders (in particular fraud, payment difficulties, suspected money laundering, insulting remarks, defamation, disparagement, infringement, violation of third-party rights), or where required by law, everyblu reserves the right to interrupt, temporarily or permanently, access to the Account, by suspending or terminating these Terms without notice or compensation, by simple email. In the event of suspension or closure, the User concerned is not authorised to create a new Account.

The User may at any time request the closure of their Account by email to contact@everyblu.com, provided that they have fully completed their ongoing Orders and paid any sums due. Certain obligations survive termination (in particular unpaid invoices). An Account may be closed automatically in the event of prolonged inactivity, under the conditions specified on the Platform.

Interruption measures are distinguished according to their nature: technical or feature suspension, suspension of payments, suspension requested by Lemonway, regulatory suspension, commercial delisting, termination for cause and termination for convenience. With regard to a professional Service Provider, and subject to cases of immediate suspension (fraud, security risk, legal requirement or request from Lemonway), everyblu gives reasons for its decision and, where required by the Platform-to-Business Regulation, observes reasonable notice and a right to remedy the breach. The closure specifies what happens to ongoing transactions, pending payouts, recoverable data and surviving obligations (in particular subsequent chargebacks and evidentiary cooperation) and distinguishes the closure of the everyblu Account from that of the Lemonway payment account.

10. Liability of the Parties

everyblu acts as a neutral intermediary and does not guarantee the performance of Orders by Service Providers. Each User is solely responsible for their use of the Services and the assessments they make, and undertakes to hold harmless and indemnify everyblu against any damage, loss or loss of profit it may suffer as a result of such use, should its liability be sought by a third party.

10.1. Liability of the Platform

everyblu is not a payment institution: it does not itself collect, hold or pay out funds, and does not carry out the regulatory KYC/KYB and AML/CFT checks, which are the responsibility of Lemonway as the obliged entity. everyblu cannot be held liable for holdbacks, delays, suspensions or refusals decided by Lemonway in the context of its regulatory obligations.

On the other hand, everyblu (SYNDICO) assumes its own operational and contractual obligations: it contractually bears chargebacks under the agreed conditions, funds and manages the Reserve, transmits instructions to Lemonway, secures the Platform, maintains Account Holder data, compiles the transaction file and cooperates with checks. Its liability may be sought in the event of an error attributable to it in an instruction, an authentication or a transmission.

As everyblu is a third party to the Contracts concluded between Users, it cannot be held liable in the event of a User’s failure to fulfil their contractual, social security or tax obligations, nor in the event of an accident, loss, theft, property damage or personal injury occurring in connection with an Order. Its liability may only be incurred for acts directly attributable to it and causing direct damage, to the exclusion of any indirect damage. It is excluded in the event of misuse or diversion of the Services, fault of the User, or acts attributable to a third party, except where a failure of everyblu’s own security or authentication system contributed to the damage.

As hosting provider of content published by Users (offers, berths, profiles, reviews, photographs), everyblu cannot be held liable for such content, unless, having been duly informed of its illegal nature under the conditions laid down in Article 6 of Law No. 2004-575 of 21 June 2004 on confidence in the digital economy, it did not act promptly to remove it or disable access to it. Notification of illegal content must include the information required by that law, in particular: the date of notification; the identity of the notifier; the identity of the recipient; the description and precise location of the disputed facts; the legal and factual grounds for removal; and proof of a prior request sent to the author or publisher, or of the impossibility of contacting them.

The following limitations of liability apply differently depending on the User. With regard to a professional User, and unless otherwise required by mandatory provisions, everyblu’s total liability is limited to the amounts actually paid to it in respect of the Services during the twelve (12) months preceding the event giving rise to liability. With regard to a consumer or non-professional User, everyblu is liable for damages under ordinary law, these limitations being enforceable against such User only to the extent permitted by applicable mandatory provisions.

In any event, no limitation or exclusion of liability applies in the event of gross negligence or wilful misconduct, personal injury, infringement of personal data, or where a mandatory legal obligation prevents it.

10.2. Liability of Owners and Captains

The Owner or Captain is liable for the accuracy of the information provided (boat, booking) and for compliance with the Marina’s rules and maritime safety rules. Where applicable, they warrant that the boat concerned is insured in accordance with legal requirements (activity, navigation area, home port).

10.3. Liability of Service Providers

Marinas, Suppliers and Technicians warrant the accuracy and currency of the information in their profiles and offers, and perform Orders in a professional manner, in compliance with applicable laws, licences and standards (safety, environment, insurance). They are liable towards the requesting User under the Contract, and everyblu cannot be held liable in this respect.

11. Personal Data Protection

The processing of Users’ personal data is governed by Regulation (EU) 2016/679 (“GDPR”) and amended French Law No. 78-17 of 6 January 1978. The data requested are necessary for access to the Services and for intermediation. Each User has, under the conditions laid down by the regulations, the right of access, rectification, erasure, restriction, objection and portability, as well as the right to lodge a complaint with the Commission nationale de l’informatique et des libertés (CNIL). The terms of processing and of exercising these rights are detailed in everyblu’s Privacy Policy, which forms an integral part of these Terms. Data collected for KYC/KYB and AML/CFT checks are processed by Lemonway, acting as data controller for these regulatory purposes.

The Privacy Policy maps the roles of data controller and, where applicable, processor, distinguishing between processing carried out by everyblu on its own behalf and processing carried out on behalf of a Marina, a Supplier or Lemonway. It covers in particular data relating to the Captain, the Payer, the crew and the owner, yacht documents, KYC/KYB data (processed by Lemonway), geolocation data, payment histories, messages, BDR/POR, CDP activation data, customer lists imported by Service Providers, data relating to the Platinum and Diamond offers, transfers outside the EEA, processors, retention periods and data breach notification.

The use of data for direct marketing purposes complies with the applicable rules depending on whether the target is a business or an individual; individuals are informed and may object at any time. A policy on cookies and trackers, separate for the website, the portals and the applications, specifies the purposes and the consent arrangements.

12. Intellectual Property and Hyperlinks

SYNDICO SAS holds, or has been granted the necessary licences for, the intellectual property rights in all elements making up the Platform (texts, photographs, images, infographics, drawings, logos, editorial format, graphic charter, software and any other protectable creation). Any reproduction, representation, distribution, translation or exploitation, in whole or in part, of any of these elements without the prior written authorisation of everyblu is strictly prohibited and would constitute an infringement offence within the meaning of Article L. 335-2 of the French Intellectual Property Code, punishable by three years’ imprisonment and a fine of EUR 300,000.

SYNDICO SAS also holds the trademarks it has registered or lawfully uses, including the “everyblu” trademark. Their reproduction, use or affixing without prior written authorisation would constitute an act of infringement engaging the liability of its author under Articles L. 716-4 et seq. of the French Intellectual Property Code.

Content published by a User remains the property of that User or its partners; the User warrants that it holds all rights relating to its publication. The Platform may contain hyperlinks to third-party websites over which everyblu has no control and for which it cannot be held responsible; Users who follow them do so in full knowledge of the conditions specific to those sites.

everyblu grants the User, for the duration of their access to the Services, a personal, limited, non-exclusive, non-transferable and revocable licence to use the Platform, solely for their internal purposes. The following are prohibited in particular: resale, extraction or reuse of the database, unauthorised shared access and any competing use. Rights in APIs, in reports and generated data, and the treatment of feedback and suggestions are specified in the applicable conditions; the distinction between User data and aggregated or anonymised data is reserved. Licences terminate upon closure of the Account, subject to surviving obligations and legal retention periods.

12.1. White-label offers (white-label / Diamond)

Where a white-label offer (white-label / Diamond) is offered, the specific conditions determine: the identity of the apparent publisher and of the end user’s contracting party; the provider of support; the party responsible for data; how Lemonway is presented; who accepts the payment terms; the Service Provider’s ability to modify user journeys; ownership of developments and branding; availability and maintenance; reversibility and end of contract; user migration; and liability in the event of content or instructions from the white-label client. In any event, white-label branding does not conceal Lemonway’s regulatory identity where its mention is contractually mandatory.

13. Governing Law and Disputes

These Terms and the transactions arising from them are governed by French law. They are drafted in French; in the event of translation, only the French text shall prevail in the event of a dispute.

Any dispute between a User and the Platform shall be subject to a prior attempt at amicable resolution within thirty (30) days of its notification, before any referral to the courts. Disputes arising between Users (for example between an Owner and a Marina, Supplier or Technician) are settled directly between them, each undertaking to use their best efforts to reach an amicable solution. The User may report any complaint from their personal space.

Failing amicable resolution, and subject to mandatory rules of jurisdiction — in particular those protecting consumers — any dispute falls within the exclusive jurisdiction of the courts within the jurisdiction of Nice, with the Nice Commercial Court having subject-matter jurisdiction for disputes between professionals.

Complaints are directed according to their nature, each channel being separate: (i) complaints relating to the operation of the everyblu digital service or to Platform Fees are addressed to everyblu (contact@everyblu.com); (ii) disputes relating to the quality, delivery or invoice of an Order are handled with the Service Provider concerned; (iii) complaints relating to a pay-in, the payment account, a payout or a Lemonway payment transaction are addressed to Lemonway via its complaints page (www.lemonway.com/reclamation).

In accordance with Articles L. 612-1 et seq. of the French Consumer Code, a consumer User may use a consumer mediator free of charge with a view to the amicable resolution of any dispute with everyblu. The competent consumer mediator is: Centre de Médiation de la Mer, 10 avenue Anita Conti, 35400 Saint-Malo, France; email: contact@centre-mediation-mer.fr. With regard to payment services, a User acting for non-professional purposes may refer the matter to Lemonway’s competent mediator, the AFEPAME Mediator, 36 rue Taitbout, 75009 Paris, France, under the conditions of the Lemonway Framework Agreement.

14. Final Provisions

14.1. Partial invalidity

If one or more provisions of these Terms are held to be invalid or declared as such pursuant to a law, regulation or final decision of a competent court, the other provisions shall retain their full force and effect.

14.2. Force majeure

Force majeure events are those meeting the definition of Article 1218 of the French Civil Code. Force majeure suspends the Parties’ obligations for its duration, unless the resulting delay justifies the termination of these Terms. The Party invoking it shall notify the other Party by any means within a maximum of eight (8) days and inform it of the date on which it ceases. If the impediment is permanent, these Terms are terminated automatically under the conditions of Articles 1351 and 1351-1 of the French Civil Code.

14.3. No waiver

The fact that everyblu does not insist on the application of any provision of these Terms, or temporarily tolerates its non-performance, shall not be construed as a waiver of the rights it holds under these Terms.

14.4. International sanctions, insurance and subcontracting

The User declares that they are not subject to any asset freeze, sanction or embargo measure and undertakes to comply with the applicable regulations in this area; where applicable, access to the Services and payment services may be refused or suspended. Service Providers maintain the insurance required for their activity and provide proof thereof on request. The use of subcontracting by a Service Provider does not affect its liability towards the requesting User or its obligations hereunder.

14.5. Assignment, electronic notices and entire agreement

everyblu may assign or transfer these Terms in the context of a reorganisation or transfer of business, provided that Users’ rights are maintained. Notices exchanged hereunder may be sent electronically, which constitutes a means of evidence accepted between the Parties. These Terms, their specific conditions and the Privacy Policy constitute the entire agreement of the Parties relating to their subject matter; proofs of consent, timestamped acceptances and electronic signatures (in particular of the BDR and POR) are retained for evidentiary purposes.
