PAYMENTS & REFUNDS POLICY

1. INTRODUCTION

This Payments & Refunds Policy (“Policy”) explains how payments, subscriptions, taxes, and refunds are handled across the esyndico® platform operated by SYNDICO SAS (“SYNDICO”, “we”, “us”).

It applies to:

  • Marketplace payments: Boaters pay Marinas or Suppliers for services (e.g., berth bookings, maintenance tasks, guest amenities)
  • SaaS subscriptions: Vendors and Marinas pay SYNDICO for access to premium platform features and tools

This Policy applies to:

  • mymarina.esyndico.com, supplier.esyndico.com, myboat.esyndico.com
  • Syndico Owner App, Syndico Technician App
2. PAYMENT PROCESSING & MERCHANT ACCOUNT STRUCTURE

All payments are processed through Stripe, using SYNDICO’s integrated Stripe Connect platform:

  • Vendors and Marinas must register as Stripe Connected Accounts under SYNDICO’s platform
  • SYNDICO acts as the limited payment collection agent for services transacted through the platform
  • SYNDICO retains oversight and administrative control over these merchant accounts

You authorize SYNDICO and Stripe to:

  • Initiate, hold, or transfer payments on your behalf
  • Deduct fees before transferring proceeds to vendors or marinas
  • Retain audit logs and compliance information
3. PAYMENT METHODS

Supported payment methods include:

  • Credit/debit cards (Visa, Mastercard, etc.)
  • Bank transfers (in selected regions)
  • Future: e-wallet and balance top-up options

You are responsible for ensuring valid and active payment information is maintained in your account settings.

4. INVOICING & RECEIPTS
  • Digital invoices are automatically generated for every transaction and can be downloaded via your dashboard
  • All invoices include relevant taxes (e.g., VAT) and comply with EU fiscal regulations
  • SYNDICO stores these invoices for 10 years in secure systems
5. TAX & CURRENCY
  • VAT is applied where legally required based on the location of the payer and payee
  • All amounts are charged in EUR unless otherwise stated
  • Vendors are solely responsible for reporting and remitting their own taxes
6. SUBSCRIPTION TERMS (FOR MARINAS & SUPPLIERS)

Vendors and Marinas subscribing to the SYNDICO SaaS platform agree to:

  • Pay monthly or annual subscription fees as displayed on their account dashboard
  • Subscription auto-renews unless cancelled at least 7 days before renewal
  • A 7-day grace period may apply following failed payments, after which access may be suspended
  • Subscription fees are non-refundable once invoiced unless otherwise agreed
7. REFUNDS & CANCELLATIONS (MARKETPLACE SERVICES)

Refund eligibility is based on service delivery status:

  • Pre-execution: Full or partial refund depending on cancellation terms agreed
  • Post-execution: Refunds considered only for verifiable service failure or fraud
  • Disputes must be raised within 7 days of the scheduled service date

All refund requests are processed through the in-app request system and evaluated by SYNDICO support.

8. DISPUTES & CHARGEBACKS
  • Users must contact SYNDICO to attempt resolution before filing a chargeback
  • Unjustified chargebacks may result in account suspension or legal follow-up
  • Disputed funds may be held in escrow during investigation
9. FRAUD PREVENTION & RISK MONITORING

To safeguard platform integrity:

  • Transactions are monitored using Stripe Radar and SYNDICO’s internal fraud logic
  • Suspicious activity may trigger temporary holds or manual verification
  • Repeated or confirmed fraudulent activity may lead to permanent account termination
10. PROMOTIONS & DISCOUNTS

SYNDICO may issue time-limited discount codes or pricing offers. These:

  • Must be used in accordance with published terms
  • Are non-transferable and non-refundable
  • May be withdrawn or deactivated at any time without notice

Fraudulent use (e.g., resale, multiple accounts) is grounds for suspension.

11. LIABILITY & LIMITATIONS

SYNDICO does not act as a direct seller of services or berths. We facilitate transactions through a trusted marketplace.

SYNDICO is not liable for:

  • The performance of Marinas or Suppliers
  • Payment delays due to Stripe, bank systems, or force majeure events

Our total liability related to payments is limited to the lesser of €100 or the fees earned by SYNDICO on the disputed transaction.

12. POLICY CHANGES

We may modify this Policy to reflect updates in technology, regulations, or commercial practice. Substantial changes will be announced via platform notification or email.
